ATP Online Training Terms and Conditions

These Terms of Conditions are to set forth the rights and obligations between the prospective student or students (hereinafter referred to as “Student(s)”) and the Studio with respect to the Anime Training Program (hereinafter referred to as “ATP” or “Online Training”), an online animation production course offered by Maru Exposito (hereinafter referred to as “Studio “or “We”). Students shall apply for and take the Online Training upon agreeing to these Terms and Conditions.

Article 1. Purpose

This Online Training is a membership-based online training program designed to provide intermediate-level learners with hands-on instruction in anime production techniques. Through regular live sessions, Students will receive personalized feedback and mentorship from professional animators. Online Training aims to foster artistic growth, industry-oriented skills, and community building among aspiring animation creators from around the world.

The Online Training is not intended for beginners. Applicants must have prior experience or knowledge in relevant creative fields, and admission is subject to a screening process including portfolio review.

Details of the ATP offerings and fee amounts and other conditions are set forth in the “Student Specifications for the Anime Training Program”.

Article 2. Agreement to these Terms and Conditions

Students shall be deemed to have been read and agreed Student Specifications for the Anime Training Program and these Terms and Conditions before applying for services and at the time of application, and shall be deemed to have fully understood and agreed to these Terms and Conditions and to have voluntarily applied for the services.

When a Student reads these Terms and Conditions, signs the prescribed application form (including checking a check box or digitally signing), and electronically submits the form to our studio, the Student is deemed to have agreed to these Terms and Conditions.

Article 3. Eligibility

Applicants must meet all of the following conditions:

1. Must have stable internet access and a device (PC, tablet, etc.) capable of participating in online lessons.

2. Must have working knowledge of digital drawing or animation tools (Clip Studio Paint EX) and provide the tool by themselves.

3. Must be able to understand and communicate in English at a functional level.

4. Must have creative experience in animation or related fields and be able to submit a portfolio or sample works.

5. At least 18 years of age at the time of application, unless otherwise approved in accordance with these Terms and Conditions by our Studio.
   
   

Article 4. Application and acceptance review

4.1 Applicants shall fill out the required information in the application form prescribed by the Studio and submit it together with a portfolio of previously produced works to the Studio.

4.2 We will review the submitted portfolio to determine if the applicant meets the eligibility requirements of the ATP as stipulated herein. If the applicant is found to be qualified, the Studio will promptly notify the applicant that he/she is qualified and accept the application for the Online Training. Applicants will be registered as students by paying the Online Training fee in accordance with these Terms and Conditions. If, as a result of screening, the Studio determines that the applicant is not qualified, the applicant will be notified and the application will not be accepted. In any case, the Studio reserves the right to make the final decision as to whether or not to accept the applicant as a student.

4.3 If the applicant is a minor (under the age of 18 under Japanese law), the applicant's legal representative or guardian shall accept and complete the application process on the applicant's behalf. Only those who have passed the screening process described in the preceding paragraph and have been specifically approved by the Studio shall be eligible to become a student.

Article 5. Fee and Payment

5.1 The tuition of ATP shall be as stipulated in the Student Specifications for the Anime Training Program, and Students shall bear the value-added tax (consumption tax), if applicable. Students shall pay the total amount of fees by the method designated by the Studio within 7 days after being notified of Online Training eligibility through the Online Training screening. Bank transfer fees and credit card transaction fees shall be borne by Students.

5.2 If Student fails to pay the tuition by the due date, the Student may be disqualified from the Online Training and the Studio reserves the right to discontinue providing Online Training to the Student.

Article 6. Termination and refund

6.1 Once enrollment is confirmed, the Student may not cancel or terminate the contract of ATP for any reason, including personal reasons or inevitable reason. Tuition fees are non-refundable under any circumstances.

6.2 However, in the event the Online Training is terminated by the Studio, we will refund only for the uncompleted portion of the Online Training.

Article 7. Force Majeure

In the event that ATP cannot be provided as scheduled due to a force majeure such as a natural disaster, or if the provision of ATP is suspended or terminated for reasons beyond the instructor's control (including illness or other unavoidable reasons), Students may not terminate ATP contract for that reason.

Article 8. Code of Conduct and Consideration for Other Participants

8.1 Students must act with courtesy and respect toward instructors and fellow students during online sessions and in any related communication channels (such as chat, discussion boards, or social media platforms).

8.2 Students shall not engage in any of the following prohibited conduct:

(1) Disrupting or interfering with the speech or activities of other participants or instructors

(2) Making defamatory, discriminatory, violent, sexual, or excessively political statements, or any other offensive or inappropriate behavior

(3) Sharing commercial advertisements, religious solicitations, or unrelated information contrary to the purpose of Online Training

(4) Failing to follow instructions from the instructor or our Studio

8.3 If any of the above violations are confirmed, our Studio may take appropriate measures, including deletion of offending content, issuing warnings, restricting access, suspending Online Training participation, or terminating the enrollment agreement.

8.4 Our Studio reasonably determines that a Student’s behavior disrupts the smooth operation of the Online Training, we may discontinue Online Training access for that participant or refuse further enrollment.

Article 9. Handling of Personal Information

9.1 We use students' personal information obtained from students for the provision of ATP and other services for students. In addition, our studio may provide students' personal information to third parties only to the extent necessary for these purposes of use and only when we obtain the Students' consent.

9.2 We will not provide students' personal information to third parties without students' consent, except as stipulated in the preceding paragraph or as required by law.

9.3 Students may request our studio to disclose or delete students' personal information held by our Studio.

9.4 Students may request our studio to correct or stop using their personal information if there is any error in their personal information disclosed by our studio.

9.5 Students shall not reveal any personal information of others that they have learned through ATP.

Article 10. Prohibition of Assignment

The right to receive ATP under this Agreement belongs to the Applicant, and the Applicant may not assign its rights and obligations to any third party without the Studio's written consent.

Article 11. Intellectual Property Rights

11.1 All intellectual property rights, including, but not limited to, motion pictures, drawings, sounds, images, texts, trademarks, and trade names contained in the content of the ATP and the programs provided by the Studio shall belong to the Studio. For intellectual property rights of third parties that do not belong to our Studio, we will either obtain appropriate licenses or use works that do not require such licenses (within the scope of the Creative Commons License on YouTube, etc.) . The Studio grants its Students permission to use such intellectual property rights solely for the purposes of conducting the Online Training.

11.2 Students must use any content provided by the Studio solely for the purpose of acquiring a certain skill or knowledge. Students shall not distribute, sell, transfer, lend, license, or otherwise allow a third party to use our studio's intellectual property rights, including copyrights, for any purpose.

11.3 Students are responsible for confirming and obtaining separate permission if they wish to use third-party content in their own creative works.

11.4 If any dispute arises between a student and a third party in violation of this Article, the Student shall resolve the dispute at the student's own expense and responsibility and shall indemnify and hold the Studio harmless under any circumstances.

Article 12. Online Training Structure and Learning Materials

12.1 The content, curriculum, schedule, teaching materials, and other learning resources of the Online Training shall be provided as set forth in “Student Specifications for the Anime Training Program".

12.2 We may modify the content or format of Student Specifications for the Anime Training Program at its discretion, for educational or technical reasons, without prior notice to participants.

Article 13. Recording, Redistribution, and Archives

We may record the Online Training and make it available for limited viewing by enrolled Students. Students acknowledge and agree that their image or voice may be included in such recordings.

Article 14. Limitation of Liability

Student acknowledges and agrees that the ATP is provided by the Studio to the Student under a “quasi-mandate contract” of Japanese law and it does not guarantee or commit the Student to any specific purpose or outcome. In the event that a Student claims to have suffered any damage from ATP, this Studio shall not be liable for such damage unless such damage was caused by the intentional or gross negligence of the Studio. In addition, even if our Studio is liable to students for damages caused by our intention or gross negligence, the scope of such damages shall be limited to direct and actual ordinary damages and shall not include indirect or special damages such as lost earnings. Furthermore, the amount of damages shall be limited to the amount already paid by the student to our Studio as compensation for the ATP.

Article 15. Disclaimer of Liability

The Studio shall not be liable for any problems that students may experience in taking Online Trainings if the problems are due to any of the following reasons.

1. Malfunction or failure of computers, software, or other equipment used by Students

2. Failure of network equipment such as modems, routers, LANs, etc., communication lines, Internet connection environment, etc.

3. Communication failure caused by telecommunication carriers, Internet service providers, or other third parties.

4. Any loss, misuse, leakage, etc. of user IDs, passwords, etc. by Students that makes it impossible for them to take the Online Training.
   
   

Article 16. Jurisdiction and governing Law

16.1 The Tokyo District Court or the Tokyo Summary Court shall be the court of exclusive jurisdiction for the first instance in the event of any dispute arising in connection with this Agreement.

16.2 This Agreement shall be governed by and construed in accordance with the laws of Japan.

Article 17. Changes to these Terms of Conditions and Services

17.1 If any changes are made to these Terms of Conditions or the contents of the ATP, our we will notify students in advance by the method designated by our studio.

17.2 Any use of the ATP by students after any revision of these Terms of Conditions shall be deemed as acceptance of the revised Terms of Use by the Students.

ATP (Anime Training Program) 受講規約

本規約は、スタジオMaru Exposito（以下「当スタジオ」といいます）がオンライン上で提供するアニメ制作講座「Anime Training Program」（以下「ATP」または「本講座」といいます）の受講に関し、受講希望者および受講者（以下「受講者」といいます）と当スタジオとの間の権利義務関係を定めることを目的とするものです。

受講者は、本規約の内容に同意のうえ、本講座の申込みおよび受講を行うものとします。

第 1 条 ATPの目的

ATPとは、会員制のオンライン・トレーニングプログラムであり、中級以上の学習者を対象に、アニメーション制作技術に関する実践的な指導を行うことを目的としています。
受講者はプロのアニメーターから定期的なライブセッションを通じて個別フィードバックや指導を受け、創作力の向上、産業志向のスキル習得、グローバルな創作者コミュニティの構築を図ることを目的とします。

本講座は初心者を対象としたものではなく、応募には事前の制作経験やスキルが必要です。申込には作品ポートフォリオの審査が含まれます。本講座の詳細はStudent Specifications for the Anime Training Programに定めるものとします。

第 2 条 本規約への同意

受講者は、本講座への申込前および申込時前に、Student Specifications for the Anime Training Programの内容及び本規約の内容についての説明を受け、それらを十分理解し納得の上、自らの意思で同意して申し込んでいるものとします。

受講者が、本規約を読み所定の申込フォームに署名（チェックボックスへの☑または電子署名を含む）し、当スタジオに電子的に送信した時点で、受講者が本規約に同意したものとします。

第 3 条 受講資格　

受講者としてATPの受講を希望する者（以下「申込者」）は

1. 安定したインターネット接続と、オンライン講義に参加可能なデバイス（PC、タブレット等）を有していること。  

2. デジタル描画・アニメーションツール（Clip Studio Paint EX）の基本的な操作知識を有し、ツールを自分で用意できること。

3. 英語での講義理解およびコミュニケーションが可能であること。 

4. アニメーションまたは関連分野における創作経験があり、ポートフォリオまたは作品を提出できること。

5. 本規約に従い当スタジオが特別に認めた場合を除き、申込時点で１８歳以上であること。
   
   
   

第 4 条 申し込みと審査

4. 1. 申込者は、当スタジオ所定の申込フォームに必要情報を記載し、過去に製作した作品のポートフォリオを併せて当スタジオに提出するものとします。
      

   2. 申込者が本規約に定めるATPの受講資格を満たしているか、当スタジオは提出されたポートフォリオを審査します。審査の結果、受講資格があると認めた場合は、申込者に対して受講資格がある旨を速やかに通知し、受講申し込みを受け付けます。申込者は、本規約の定めに従い、当スタジオに受講料を支払うことにより、受講者として登録されます。審査の結果、当スタジオが申込者に受講資格がないと認めた場合は申込者にこれを通知し、申し込みは不成立となります。いかなる場合にも、当スタジオは申込者を受講者として受け入れるかに関しての最終的な決定権を留保します。
      

   3. 申込者が未成年者（日本法における１８歳未満）の場合、申込者は、申込者の法定代理人または保護者が本規約へ代諾し、申込手続を行うものとします。前項の審査を通過し、かつ当スタジオが特別に認めた場合に限り受講者となることができるものとします。
      
      
      

第 5 条 受講料及び支払い

1. ATPの提供金額（受講料）は、Student Specifications for the Anime Training Programに定める通りとし、付加価値税（消費税）の適用がある場合は受講者が負担するものとします。受講者は受講審査により受講資格の通知を得てから７日以内に、当スタジオ指定の方法により、代金の合計額を支払うものとします。振込手数料、カード決済手数料は受講者の負担とします。

2. 受講者が支払期日までに受講料の支払いを怠ったときは、受講者は受講資格を失うことがあり、また当スタジオは受講者に対してATPの提供を中止することができるものとします。
   
   
   

第 6 条 中途解約及び返金

6. 1. ATPは受講者の特性に合わせてプログラムを構成し提供する性質上、当スタジオが受講者に対してATPの提供に着手したあとは、受講者の都合によるキャンセル・中途解約はできないものとします。また、いかなる理由による場合も受講料の返金は行いません。
      

2.当スタジオの都合によりATPの提供が中止された場合は、未実施分に限り当スタジオは返金を行うものとします。

第 7 条 不可抗力等

自然災害等の不可抗力により、ATPを予定通りに提供できなくなる場合、またはATPのインストラクターの都合（病気その他やむを得ない理由を含む）により、提供が中断あるいは中止された場合でも、それを理由としてATPを中途解約することができないものとします。

第 8 条 受講時の行動規範および他受講者への配慮

1. 受講者は、本講座のオンライン授業中または関連するコミュニケーション手段（チャット、掲示板、SNS等）において、他の受講者および講師に対し、節度と配慮をもった言動を行うものとします。

2. 受講者は、以下に該当する行為を行ってはなりません。

(1) 他の受講者または講師の発言を妨げる行為
(2) 誹謗中傷、差別的、暴力的、性的または過度に政治的な発言その他の不快または攻撃的な言動
(3) 商業的宣伝、宗教的勧誘、無関係な情報の共有など、本講座の趣旨に反する行為
(4) インストラクターまたは当スタジオの指示に反する行為

3. 当スタジオは、受講者において前各項に違反する行為が確認された場合、当該発言・投稿の削除、注意・警告、アクセス制限、受講停止、受講契約の解除等、必要かつ適切な措置をとることができるものとします。

4. 当スタジオが受講者の言動により本講座の円滑な運営に支障が生じると判断した場合、乙は本講座の提供を中止し、以降の受講を拒否することができます。
   
   

第 9 条 個人情報の取り扱い

1. 当スタジオは、受講者から取得する受講者の個人情報を、ATPの提供及び受講者の他のサービスの提供のために使用します。また、当スタジオは、この使用目的に必要な範囲で、受講者の個人情報を受講者の承諾を得た場合に限り第三者に提供することがあります。

2. 当スタジオは、前項に規定する場合又は法令等に基づく場合を除き、受講者の承諾なく、受講者の個人情報を第三者に提供しません。

3. 受講者は、当スタジオに対し、当スタジオが保有する受講者の個人情報の開示及び抹消を求めることができます。

4. 受講者は、当スタジオから開示された受講者の個人情報に誤り等があった場合、当スタジオに対し、受講者の個人情報の訂正及び利用の停止を求めることができる。 

5. 受講者は、ATPで知った他人の個人情報を一切他言してはならないものとします。

第 10 条 譲渡等の禁止

本契約に基づいてATPの提供を受ける権利は申込者本人に帰属するものであり、申込者は、当スタジオの書面による同意なく、権利義務を第三者に譲渡できないものとします。

第 11 条 知的財産権

1. ATPの内容および提供するプログラムに含まれる動画、作画、音声、画像、文章、商標、 商号等の一切の知的財産権は当スタジオに帰属するものとします。当スタジオに帰属しない第三者の知的財産権については当スタジオが適切な使用許諾を得るか、または許諾の不要であるもの(YouTube等におけるクリエイティブ・コモンズ・ライセンスの範囲内)をATPで提供します。また、当スタジオは受講者に対してかかる知的財産権を当スタジオ自身の目的のみに使用することを許諾します。

2. 受講者は当スタジオから提供された内容の一切を、一定の知識を習得するためにのみ使用しなければなりません。当スタジオの著作権を含む知的財産権を第三者に対して頒布、販売、譲渡、貸与、使用許諾権の設定その他第三者に本講座の提供を受けさせるといった一切の行為を行ってはならないものとします。

3. 受講者は、当該第三者コンテンツを自らの創作物に使用する場合、別途その利用許諾を確認・取得する責任を負います。

4. 前項の規定に違反して、第三者との間に紛争が発生した場合、受講者は、自己の費用と責任において、当該紛争を解決するとともに、当スタジオをいかなる場合においても免責し、損害を与えないものとします。
   
   

第 12 条 講座構成・教材提供

1. 本講座の内容、カリキュラム、日程、使用教材およびその他の学習資料は、乙が定める内容に従って提供されます。

2. 講座の内容や形式は、受講者への事前通知なく、教育的・技術的判断により変更される場合があります。
   
   
   

第 13 条 録画・再配信・アーカイブの扱い

1. 本講座の一部は、乙により録画され、受講者向けに限定公開されることがあります。受講者は、録画への映り込みまたは発言内容が記録される可能性があることを予め承諾するものとします。

2. 受講者による授業の録音・録画・スクリーンキャプチャは、乙の事前許可がない限り禁止します。

第 14 条 責任制限

ATPは、当スタジオが準委任契約に基づき受講者に提供するものであり、特定の目的の達成や成果を受講者に保証したり、確約したりするものではないことを受講者は了承して申し込んだことを確認します。受講者がATPから何らかの損害を受けたと主張する場合においても、かかる損害が当スタジオの故意または重過失によるものを除き、当スタジオは一切の責任を負わないものとします。また、当スタジオの故意または重過失によって受講者に生じた損害について当スタジオが受講者に対して損害賠償の責めを負う場合であっても、その損害の範囲は、直接かつ現実に発生した通常損害に限られるものとし、逸失利益等の間接損害又は特別損害は含まないものとします。さらに、損害賠償の額は受講者がATPの対価として当スタジオにすでに支払った額を上限とします。

第 15 条 免責事項

以下の各号に該当する理由によるものであるときは、受講生がオンラインコースの受講に支障が生じた場合であっても、当スタジオは一切の責任を負わないものとします。

1. 受講生が使用するコンピュータ、ソフトウェア、またはその他の機器に関する故障または不具合

2. モデム、ルーター、LAN等のネットワーク機器または通信回線、インターネット接続環境等に関する障害

3. 通信事業者、インターネットサービスプロバイダ、その他第三者による通信障害

4. 受講生がユーザーID・パスワード等の紛失、誤使用、漏洩等に起因して受講が不可能となった場合
   
   
   

第 16 条 管轄裁判所

16. 1. 本契約に関して紛争を生じたときは、東京地方裁判所又は東京簡易裁判所をもって第一審の専属的合意管轄裁判所とします。

    2. 本規約は、日本法に準拠し解釈されるものとします。
       

第 17 条 本規約及びサービスの変更

1. 本規約又はATPの内容に変更が生じる場合、当スタジオは受講者に当スタジオの指定する方法で事前に通知いたします。

2. 本規約を改定した後、受講者がATPを利用した場合には、受講者が改定後の本規約の内容に同意したものとみなされます。
